Terms of Use SOLID Personnel, Inc.

Welcome to www.solidpersonnel.com (the “Site”), operated by SOLID Personnel, Inc. (“Solid Personnel,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of the Site and any services available through it (the “Services”). By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms, which incorporate our Privacy Policy by reference. If you do not agree, do not use the Site or Services.

These Terms apply to all users of the Site, including registered users (each a “User”).

Changes to These Terms

These Terms are effective as of the date shown above. We may update them at any time by posting the revised version on the Site or by notifying you by email. Changes become effective when posted. Your continued use of the Site or Services after any update constitutes acceptance of the revised Terms. We may also add, remove, or modify features of the Site at our sole discretion.

Description of Services

Subject to these Terms and our Privacy Policy, the Site provides information about our staffing and related services, including details on employment opportunities and the services we offer to customers.

User Information and Accounts

Certain features of the Site require you to provide personal information, as described in our Privacy Policy. By submitting information through the Site, you agree to:

  • Comply with these Terms
  • Provide true, accurate, current, and complete information
  • Promptly update that information to keep it accurate and complete
  • Accept full responsibility for all activity that occurs under your use of the Site

We are not responsible for any loss or damage resulting from your failure to meet these requirements.

Intellectual Property

  • Use the Site or Services in any way that damages, disables, overburdens, or impairs them, or interferes with anyone else’s use

  • Collect information about other users, including email addresses, without authorization

  • Upload or transmit content that infringes any patent, trademark, copyright, trade secret, or other proprietary right, or that removes or falsifies attribution or proprietary notices

  • Remove any copyright, trademark, or other proprietary notices from the Site

  • Use the Site or Services for any unauthorized commercial purpose

Accuracy and Availability of Content

We do not guarantee that information on the Site is accurate, complete, or current. Any reliance on Site content is at your own risk. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Site, including periods of unavailability.

We have no obligation to update or correct information on the Site. The presence of a date or update notice does not mean that all content has been reviewed or revised.

Termination

We may suspend or terminate your access to the Site or Services (or any portion of them) at any time, with or without notice, if you violate these Terms, fail to follow instructions regarding proper use, or for any other reason in our sole discretion.

We will not be liable to you or any third party for any termination of access. Upon termination, we may delete or retain data associated with your use of the Site at our discretion. We have no further obligation to you, including any duty to preserve data generated through your use of the Site or Services.

Disclaimers

Transmission of data related to your use of the Site, including personal information, may involve networks and technical adaptations. No transmission over the Internet or storage of data can be guaranteed to be completely secure. While we take reasonable steps to protect information, we cannot warrant the security of any data you transmit to us. You transmit information at your own risk. We are not liable for the security, timeliness, deletion, misdelivery, or failure to store any data or content transmitted through the Site.

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We make no representations that (i) the Site or Services will meet your requirements or expectations, (ii) the Site or Services will be uninterrupted, timely, secure, accurate, complete, or error-free, (iii) any results obtained from use of the Site or Services will be accurate or reliable, or (iv) any errors will be corrected. Operation of the Site may be affected by factors outside our control, including network disruptions. We are not responsible for failures of the Internet or any related equipment or systems.

We are not responsible for the security of information transmitted over the Internet, the accuracy of information on the Site, or the consequences of reliance on that information. You must evaluate these matters yourself. We are not liable for delays or failures caused by events beyond our reasonable control, including acts of God, acts of third parties, fire, weather, epidemics, war, riots, terrorism, telecommunications failures, or computer viruses. The Site may be temporarily unavailable for maintenance or other reasons.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR EMPLOYEES, AGENTS, DIRECTORS, OFFICERS, AND SHAREHOLDERS WILL NOT BE LIABLE FOR (1) ANY LOST, DELETED, CORRUPTED, FALSE, OR INACCURATE DATA STORED OR DISPLAYED ON YOUR DEVICE OR ELSEWHERE; (2) ANY DAMAGE TO THE DEVICE ON WHICH THE SITE IS ACCESSED; (3) LOST PROFITS OR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; OR (4) THE COST OF SUBSTITUTE GOODS, SERVICES, OR TECHNOLOGY.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS APPLY ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW.

OUR TOTAL LIABILITY TO YOU OR ANY THIRD PARTY UNDER THESE TERMS IS LIMITED TO $100.

Indemnification

You agree to defend, indemnify, and hold harmless Solid Personnel and our employees, agents, directors, officers, and shareholders from and against any liabilities, losses, claims, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of (i) your use or misuse of the Site or Services, (ii) your breach or alleged breach of these Terms, or (iii) your violation of any law or the rights of others in connection with your use of the Site or Services.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California and applicable federal law, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.

If a dispute arises relating to your use of the Site or Services, the parties will first attempt in good faith to resolve it through direct negotiation. If the matter remains unresolved for 45 days after written notice (by certified mail or personal delivery), the parties will participate in mediation in Los Angeles, California, with a mutually agreed mediator. If you file an arbitration, administrative, or legal action without first attempting mediation, you will not be entitled to recover attorneys’ fees, even if you would otherwise have been entitled to them.

Miscellaneous

These Terms constitute the entire agreement between you and us regarding your use of the Site and Services and supersede all prior agreements. If any provision is found unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force. Our failure to enforce any right or provision does not constitute a waiver.

The provisions relating to termination, intellectual property, content accuracy, disclaimers, limitation of liability, indemnification, governing law, and miscellaneous terms will survive termination of these Terms.

We make no representation that the Site or Services are appropriate or available for use outside the United States. Users who access the Site from outside the United States do so on their own initiative and are responsible for compliance with local laws.

Assignment

We may assign these Terms to a subsidiary, parent company, or successor in connection with a merger, acquisition, or sale of substantially all of our assets. You may not assign or transfer these Terms. If any provision is held unenforceable, the remaining provisions remain in effect.
